These Terms and Conditions ("Terms") set forth the legally binding terms for your use of the platforms, products, and services provided by Swaryx Technologies Inc. ("Swaryx", "Company", "we", "us").

By accessing https://swaryx.com, integrating our Meta WhatsApp API connectors, or deploying Riya AI calling agents, you agree to comply with these Terms and our Privacy Policy.

Swaryx operates an enterprise AI platform providing Riya AI voice calling agents, WhatsApp Cloud API template messaging, site visit booking coordination, and CRM synchronization.

Account

3. Account & Platform Access

Subscribers must maintain accurate account information and secure API tokens. Any voice campaign or WhatsApp message dispatched using your account credentials is deemed authorized by your enterprise.

Section 4 — Mandatory Policy

Meta Rules

4. Meta WhatsApp Policy & End-User Opt-In Consent

Subscribers using Swaryx's WhatsApp messaging features must comply with Meta Developer Guidelines, WhatsApp Commerce Policies, and telecom regulations:

Prior Opt-In Required: You guarantee that all customer phone numbers loaded into Swaryx have provided explicit consent to receive communications from your business.
Immediate Unsubscribe Compliance: Stop requests (e.g. "STOP", "UNSUBSCRIBE") received from end-users must be honored immediately.
Zero Spam Tolerance: Dispatches of unsolicited bulk broadcasts or unapproved templates will result in instant account suspension.

Rules

5. Acceptable Use Policy

Subscribers agree not to use AI voice calling agents or messaging tools for impersonation, deceptive real estate practices, unauthorized automated spam, or reverse engineering Swaryx voice models.

IP Rights

6. Intellectual Property Rights

All algorithms, software architectures, Riya AI voice models, trademarks, and interface designs remain the sole property of Swaryx Technologies Inc.

Section 7

Billing

7. Subscriptions, Fees & Billing

Services are billed according to executed order forms or usage tiers. Fees are non-refundable. Overdue payments may lead to temporary suspension of API messaging gateways.

SLA

8. Disclaimers & Service Level

Services are provided "AS IS". While Swaryx targets 99.9% uptime, we are not responsible for telecom network disruptions or Meta WhatsApp API downtime outside our direct control.

Section 9

Liability

9. Limitation of Liability

Swaryx Technologies Inc. shall not be liable for indirect, incidental, or consequential damages resulting from platform usage or messaging errors.

Indemnity

10. Indemnification

Subscribers agree to indemnify Swaryx against third-party claims or regulatory fines resulting from unauthorized subscriber messaging campaigns or privacy violations.

Section 11

Termination

11. Termination & Suspension

Either party may terminate service upon written notice for material breach. Immediate suspension applies upon detection of Meta API terms violations.

Jurisdiction

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts in New Delhi, India shall have exclusive jurisdiction over legal disputes.
